Healthcare, Inc. Stock Incentive Plan, Amended and Restated; the Kindred
Healthcare, Inc. Equity Plan for Non-Employee Directors, Amended and
Restated; and ratified the appointment of PricewaterhouseCoopers LLP as
the Company’s independent registered public accounting firm for fiscal
year 2017.
